This announcement was made earlier today.
* The proposed CVA/refinancing-led exit from administration has been abandoned. Administrators concluded that an orderly sale of assets was now the best achievable outcome for creditors.
* Headlam and HFD completed a £14.9 million + VAT asset sale to Likewise Group on 6 October:
* Thatcham distribution centre: £12.9m
* Other operating assets/inventory: £1.1m
* Crucial Trading, Concept Flooring and principal intellectual property: £0.9m
* Net proceeds will pay administration expenses, secured creditors and preferential creditors. This places Hilco/HUK 180’s secured lending claims ahead of unsecured creditors and shareholders, although the announcement does not specify exactly how much Hilco will receive.
* Administrators say unsecured creditors are unlikely to be paid in full and existing Headlam shareholders are unlikely to receive any capital return.
* Headlam’s stock-market listing is to be cancelled, meaning the suspended shares will ultimately cease trading.
* Likewise acquired assets only—not Headlam Group plc or HFD Limited—and therefore has not taken ownership of either company. It will also help sell remaining Headlam inventory over nine months and will occupy Coleshill under an exclusive nine-month licence.
This materially clarifies the likely outcome: no CVA rescue, no restoration of the listing, and a probable total loss for Headlam shareholders.
Still undisclosed are Hilco’s interest rate, fees, maturity date, amount actually drawn from the £11.7m facilities, and the precise recovery or settlement payable to HUK 180.
